Terms of Use
Effective Date: July 7, 2026
These Terms of Use apply to your use of QuiVend, including the QuiVend mobile app, website, and related services.
QuiVend is operated by Lawrence Suzara, doing business as QuiVend. References to “QuiVend,” “we,” “us,” or “our” mean Lawrence Suzara, doing business as QuiVend.

1. Acceptance of These Terms
By downloading, installing, accessing, or using QuiVend, you agree to these Terms of Use.
If you do not agree to these Terms, do not use QuiVend.
2. What QuiVend Does
QuiVend is an inventory and sales logging app designed for artists, makers, convention vendors, merch sellers, pop-up sellers, swapmeet sellers, and small event vendors.
QuiVend helps you:
- Track products and inventory
- Add product images
- Organize categories and subcategories
- Create bundles
- Log sales during events
- Deduct sold items from inventory
- View order history
- View sales and profit reports
- Create and restore local backups
With a QuiVend Cloud subscription, QuiVend can also:
- Back up your booth data to the cloud
- Keep your booth in sync across your devices
- Restore your booth to a new or replacement device
- Let helpers sell from your catalog on their own phones through Companion Mode
QuiVend is designed to help vendors spend less time manually tracking sales and inventory during events.
3. QuiVend Is Not a Payment Processor
QuiVend does not process payments.
The app may include checkout-style screens, carts, order summaries, and “Mark as Sold” actions, but these features are for logging sales and updating inventory only.
Actual payment happens outside QuiVend through methods such as:
- Cash
- Card readers
- Bank transfers
- PayPal
- Venmo
- Other external payment methods
You are responsible for confirming that payment has been received before marking an order as sold.
4. Local-First App and the Offline Guarantee
QuiVend is designed as a local-first app.
This means core app data is stored on your device so the app can continue working without an internet connection. This holds on every plan: signed in or signed out, subscribed or not, your booth on your device keeps working. We call this the Offline Guarantee.
Local app data may include:
- Products
- Categories and subcategories
- Product quantities
- Product prices
- Product costs
- Product images
- Bundles
- Events
- Orders
- Reports
- Settings
- Local backups
You are responsible for protecting your device and your local app data.
5. Plans: Lite, Pro, and QuiVend Cloud
QuiVend comes in three plans:
- QuiVend Lite is free and ad-supported, with limits such as a product limit and a saved bundle limit.
- QuiVend Pro is a one-time purchase (not a subscription) that removes ads and unlocks premium offline features such as unlimited products, unlimited saved bundles, product variants, barcode scanning, and event comparison.
- QuiVend Cloud is an auto-renewing subscription (monthly or yearly) that includes everything in Pro and adds the online features: an account, cloud backup, sync across devices, and Companion Mode.
Lite and Pro work entirely offline and never require an account or sign-in. Accounts exist only for QuiVend Cloud.
We may change the free plan, paid features, limits, features, or pricing over time. If changes affect your purchase or paid access, we will follow the applicable app store rules.
6. Purchases, Subscriptions, and Billing
Purchases are processed through the app store where you downloaded QuiVend, such as Google Play or the Apple App Store.
Your billing, refunds, payment method, and purchase records are managed by the app store where you made the purchase.
For the QuiVend Cloud subscription:
- It renews automatically each month or each year, depending on the plan you chose, until you cancel.
- You cancel through your app store subscription settings (Google Play or the App Store), not inside QuiVend. Deleting the app does not cancel a subscription.
- When you cancel, your Cloud access continues until the end of the period you already paid for. We never cut a paid period short.
- If a renewal payment fails, the app store may give you a grace period to fix your payment method. Your access continues through any grace period the store grants.
If you need help restoring a purchase, use the Restore Purchase option in the app, or contact support.
Deleting the app does not automatically refund a purchase. Refunds are handled by the app store according to its own policies.
7. When Your QuiVend Cloud Subscription Ends
We want you to know exactly what happens when a subscription lapses, so here it is plainly.
- Nothing on your device is ever deleted. Your booth data stays on your phone, and the app keeps working offline.
- Online features stop: cloud backup, sync, and Companion Mode pause until you resubscribe.
- Your cloud data is kept on our servers for 90 days after your subscription ends, so resubscribing picks up right where you left off. After 90 days it is deleted. We will remind you before that happens.
- Without an active Pro or Cloud plan, the app operates within QuiVend Lite’s limits. If your catalog is larger than Lite operates with, the app will first save a complete local backup of everything, then ask you to choose which products stay active. The rest are moved to your archive. Nothing is deleted: your sales history and reports stay intact, archived products can be brought back within Lite’s limit, and upgrading to Pro or resubscribing to Cloud reopens all the space at once.
- This never interrupts a live event. If an event is running when your subscription ends, you can keep selling; the app waits until the event is closed.
8. QuiVend Cloud Accounts
QuiVend Cloud requires an account. You can sign in with an email address and one-time code, with Apple, or with Google.
You agree to:
- Provide an email address you actually control
- Keep access to that email account, since it is how you sign in
- Not share your account with people outside your booth operation
- Tell us if you believe someone has accessed your account without permission
Your account may be signed in on a small number of devices at the same time (currently two). The app shows you which devices are signed in and lets you remove one to make room for another.
You can delete your account and its cloud data at any time in the app (Settings, Your Plan, Delete Account). The data on your device stays on your device.
9. Companion Mode
Companion Mode lets helpers sell from your catalog on their own phones during an event you run. A few ground rules:
- You invite helpers with a passkey you generate per event. Treat the passkey like a key to your booth: only hand it to people you trust, and regenerate it if it leaks.
- Helpers can sell, apply discounts if you allow them, and void their own sales. They see your prices but never your costs or profits.
- You are responsible for your helpers’ use of Companion Mode at your event, and you can remove a helper at any time.
- When a helper leaves, is removed, or the event access expires, your catalog, images, and branding are removed from their phone.
- Sales rung up by helpers become part of your booth records. Review them like you would review your own; anything you do not recognize can be voided.
- If you join an event as a helper, the catalog on your phone belongs to the owner who invited you, and you agree not to copy, export, or keep it.
10. Free Version and Ads
QuiVend Lite, the free version, may include limits such as product limits, saved bundle limits, and ads.
For example, QuiVend Lite may limit the number of products and saved bundles you can create, while still allowing unlimited events.
Ads help keep QuiVend available for vendors who want to start for free.
11. Your Data and Backups
You are responsible for the data you create, enter, store, export, delete, or restore in QuiVend.
QuiVend may allow you to create local backup files. Backup files may contain business information such as products, prices, costs, inventory quantities, event names, orders, reports, and product images.
You are responsible for where you store, send, upload, or share your backup files.
If you restore a backup, it may replace or overwrite existing local app data. Please review restore warnings carefully before continuing.
Cloud backup and sync are provided as a convenience alongside, not instead of, local backups. We recommend keeping local backups of important data even while subscribed.
12. Accuracy of Inventory, Sales, and Profit Reports
QuiVend helps you log sales and estimate inventory, revenue, cost of goods sold, and profit.
Reports and calculations depend on the information you enter into the app.
For example:
- If product costs are missing, profit may be estimated or incomplete.
- If an order is marked as sold by mistake, reports may be inaccurate until the order is voided or corrected.
- If inventory quantities are entered incorrectly, stock counts may be inaccurate.
- If discounts or bundles are entered incorrectly, order totals may be inaccurate.
- If several devices or helpers sell at the same time while offline, stock counts may briefly disagree until everyone syncs back up.
QuiVend does not guarantee that inventory counts, sales totals, costs, profit estimates, or reports will always be complete, accurate, or suitable for accounting, tax, or legal purposes.
You are responsible for reviewing and verifying your own sales, inventory, tax, payment, and business records.
13. Not Accounting, Tax, Financial, or Legal Advice
QuiVend is a tracking tool.
QuiVend does not provide accounting, tax, financial, legal, business, or professional advice.
You should consult qualified professionals if you need advice about taxes, accounting, business registration, legal obligations, bookkeeping, or financial reporting.
14. Your Responsibilities
When using QuiVend, you agree to:
- Use the app lawfully
- Enter accurate information when possible
- Confirm payment outside the app before marking an order as sold
- Keep your device secure
- Keep your backups, account email, and Companion Mode passkeys safe
- Review important sales, inventory, and profit information
- Use the app only for your own lawful vending, inventory, and sales tracking purposes
- Avoid using the app in a way that harms QuiVend, other users, app stores, or third-party services
You agree not to:
- Attempt to reverse engineer, copy, modify, or misuse the app except where allowed by law
- Use the app to commit fraud or illegal activity
- Interfere with the app’s operation or our servers
- Circumvent purchase, subscription, access, plan, or feature limits
- Access or attempt to access another user’s account or cloud data
- Use the app in a way that violates applicable laws, app store rules, or third-party rights
15. Product Images and Content You Add
You are responsible for the product images, names, notes, categories, prices, costs, and other content you add to QuiVend, whether it stays on your device or syncs to your account.
You should only add content that you have the right to use.
QuiVend does not claim ownership of your product information, product images, event records, or sales records. Your booth is yours, on your phone and in your account. Storing it for you does not make it ours.
16. App Availability and Changes
We may update, change, improve, remove, suspend, or discontinue parts of QuiVend over time.
We may also fix bugs, change features, update pricing, adjust limits, or modify the app to comply with app store requirements, technical requirements, or legal obligations.
We will try to keep QuiVend useful and reliable, but we do not guarantee that the app, cloud sync, or Companion Mode will always be available, uninterrupted, error-free, or compatible with every device or operating system version. The local-first design exists exactly so that a bad connection or a server hiccup never stops your booth.
17. Third-Party Services
QuiVend may interact with third-party services, such as:
- App stores
- App store billing and purchase systems
- Purchase management services (RevenueCat)
- Cloud hosting and database services (Supabase)
- Sign-in providers (Apple, Google)
- Security services (Cloudflare Turnstile)
- Email delivery services
- Advertising providers
- Website hosting services
- Email or support tools
- Device operating systems
- File storage or sharing tools selected by you
Third-party services are governed by their own terms and privacy policies.
We are not responsible for third-party services that we do not control.
18. App Store Terms
If you downloaded QuiVend from Google Play, Apple App Store, or another app store, your use of QuiVend may also be subject to that store’s terms, policies, and purchase, billing, refund, and subscription rules where applicable.
If these Terms conflict with mandatory app store terms, the applicable app store terms may apply to the extent required.

Your use of QuiVend is also governed by our Privacy Policy.

20. Disclaimer of Warranties
QuiVend is provided on an “as is” and “as available” basis.
To the fullest extent permitted by law, we disclaim warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, non-infringement, and reliability.
We do not guarantee that QuiVend will meet your needs, operate without interruption, prevent data loss, or produce error-free inventory, sales, or profit records.
21. Limitation of Liability
To the fullest extent permitted by law, QuiVend and its operator will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost sales, lost data, lost business opportunities, business interruption, or inaccurate reports.
To the fullest extent permitted by law, our total liability for any claim related to QuiVend will be limited to the amount you paid to use QuiVend during the three months before the claim arose, or USD $50, whichever is greater.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
22. Indemnity
You agree to defend, indemnify, and hold harmless QuiVend and its operator from claims, damages, losses, liabilities, costs, and expenses arising from:
- Your use of QuiVend
- Your violation of these Terms
- Your violation of applicable laws
- Your content, product information, images, or business data
- Your sales, payments, taxes, customer interactions, or vending activities
- Your helpers’ use of Companion Mode at your events
23. Termination
You may stop using QuiVend at any time.
We may suspend, restrict, or terminate access to QuiVend, including QuiVend Cloud accounts, if we believe you have violated these Terms, used the app unlawfully, attempted to misuse the app, or created risk for QuiVend, users, app stores, or third-party services.
Because QuiVend is local-first, some data may remain on your device unless you delete it through the app or device settings.
24. Changes to These Terms
We may update these Terms from time to time.
When we make changes, we will update the effective date at the top of this page. If changes are significant, we may provide additional notice in the app or on the website.
Your continued use of QuiVend after updated Terms become available means you accept the updated Terms.
25. Governing Law
These Terms are governed by the laws applicable to the operator of QuiVend, without regard to conflict of law principles.
Where required by applicable consumer protection laws, you may also have rights under the laws of your country or region of residence.
